10-Q Filing

A quarterly financial report filed with the SEC containing unaudited financial statements.

What Is a 10-Q Filing?

The 10-Q is a quarterly report that all publicly traded companies must file with the Securities and Exchange Commission (SEC) within 40-45 days after the end of each fiscal quarter (except Q4, which uses the annual 10-K). It contains unaudited financial statements, management discussion, and risk factor updates.

What's Inside a 10-Q

  • Financial Statements: Income statement, balance sheet, and cash flow statement for the quarter.
  • Management Discussion & Analysis (MD&A): Management's explanation of results, trends, and risks.
  • Risk Factors: Updated list of risks facing the business.
  • Legal Proceedings: Any ongoing lawsuits or regulatory actions.

10-Q vs. Earnings Release

The earnings press release is the headline-grabbing event that moves stocks. The 10-Q is the detailed follow-up, typically filed 2-4 weeks later, containing the full financial picture. Professional analysts comb through the 10-Q for details not mentioned in the press release.
